End User License Agreement for InMa by Hinnerichs

This document is an end user license agreement between you (the "licensee") and Helga Hinnerichs ("me") concerning the product InMa - Information Manager ("InMa" or "product"), including the software, any related printed, electronic and online documentation, and any other files that may accompany the product.

In accordance with the terms stated in this agreement, I shall provide you with a limited right to use InMa. The right of use concerns only the product itself, and therefore does not apply to the requisite Microsoft licenses.

1 COPYRIGHT
- 1.1 InMa is protected by the Copyright Act, international copyright agreements and other applicable law regarding rights of ownership and copyright.
- 1.2 Title, copyright, intellectual property rights and distribution rights of the Software remain exclusively with me, Helga Hinnerichs. Intellectual property rights include the look and feel of the Software. This Agreement constitutes a license for use only and is not in any way a transfer of ownership rights to InMa.
- 1.3 You are not entitled to change or remove any marks and notices concerning rights, trademarks, etc. placed on or implemented in InMa (including any and all copies hereof).
2 FURTHER REGULATIONS AND RESTRICTIONS
- 2.1 InMa may not be modified, reverse-engineered, or decompiled in any manner through current or future available technologies. Failure to comply with any of these conditions will be considered a material breach of this Agreement.
- 2.2 You are not entitled to sell, transfer, distribute, license, let out, lease, lend or in any other way transfer the product or any of the rights provided herein to any third party without the prior written approval from Helga Hinnerichs.
- 2.3 No user support or maintenance is provided as part of this agreement.
- 2.4 I am entitled to stop providing this product at any time and without notice. If your system technically allows you to continue using this product thereafter without violating the rules of this license agreement and without incurring costs on my part, you are welcome to do so.
3 GRANT OF LICENSE
- 3.1 InMa is provided by me and accepted by you, the licensee, "as is".
- InMa IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL Helga Hinnerichs BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH InMa OR THE USE OR OTHER DEALINGS IN InMa.
- 3.2 You are hereby granted, free of charge, a limited, non-exclusive and non-transferable right to use InMa for your own personal use. If you are a legal entity, InMa may be used by your employees and other authorized persons and external consultant working for you; and you are responsible for their compliance with the terms stated herein.
- 3.3 Upgraded software versions are covered and regulated by this license agreement. The upgraded software will contain modifications and improvements, which are performed by me and may include modifications like: Affect amendments to the legislation, keeping the software up to date with the general technological development or in other ways seem necessary to me.
4 ESTABLISHMENT OF AGREEMENT
- 4.1 By downloading InMa you have agreed to these license terms as of the date of download.
5 PRICING MODEL
- 5.1 InMa is available as a [ Free trial ] version until end of December 2025. After that, I reserve the right to make changes to the pricing model.
6 FINAL TERMS
- 5.1 This license agreement shall be governed by German law.
- 5.2 All disputes that may arise out of this license agreement, shall be finally resolved by means of arbitration. The seat, or legal place, of arbitration shall be Hamburg. The language to be used in the arbitral proceedings shall be German.
- 5.3 If any provision of this EULA shall be illegal or otherwise unenforceable, that provision will be deleted, without invalidating the entire EULA. The remainder of the EULA shall continue in full force and effect.
- 5.4 The original of this EULA is in German; any translations are provided for reference purposes only. The German version of this EULA shall prevail.
